A Supply Contract is a legally binding agreement between a supplier (seller) and a purchaser (buyer) that outlines the terms and conditions governing the sale and purchase of goods or services.
Supply Contracts are essential for establishing clear expectations and obligations between suppliers and purchasers, ensuring smooth and efficient transactions, and mitigating risks associated with the supply chain. By clearly defining the roles and responsibilities of both parties, these contracts help prevent misunderstandings and disputes.
They also specify the quality, quantity, and delivery timelines of the goods or services, ensuring that the purchaser receives what they need on time. Furthermore, Supply Contract often include provisions for payment terms, warranties, and dispute resolution mechanisms, which protect the interests of both parties.

Reliable Delivery
Delivery, as per Incoterms 2020 rules, is when risk transfers from the seller to the buyer. This is often, but not always, the same point in the transaction through which the seller has agreed to pay. For example, under the Delivered Duty Paid (DDP) Incoterm, the seller bears all shipping costs, risks, customs clearance, import duties, and taxes in the country of destination.
Shipping Documents Provision
Under Incoterms 2020, the seller must provide the goods and commercial invoice in conformity with the contract of sale. The seller must also obtain any export license or other official authorization required for export and carry out the customs formalities necessary for the export to proceed. Additionally, the seller is responsible for providing shipping documents, such as the Bill of Lading, which must include an ‘on board’ notation to confirm that the goods have been loaded onto the carrier.
By incorporating Incoterms 2020 into Supply Contracts, parties can clearly define their responsibilities and mitigate potential disputes.
